Remote Japanese Property Transactions: IT Explanations, E-Documents and Their Limits
Overseas buyers often ask whether they must travel to Japan solely to sign a property contract. A substantial part of the transaction can now be conducted remotely through online important-matters explanations and electronic documentation. Nevertheless, electronic brokerage procedures should not be confused with banking, registration and identity-verification requirements.
Electronic delivery is legally available
MLIT explains that amendments effective from 18 May 2022 allow documents such as important-matters explanations, transaction documents and brokerage agreements to be provided electronically under the Real Estate Brokerage Act framework. Methods can include email or web download, subject to prescribed procedures including the counterparty’s consent. ([国土交通省][14])
Break a remote transaction into stages
- Pre-contract property and document review
- Identity and intention verification
- Online important-matters explanation
- Execution of the sale or lease agreement
- Deposit and balance settlement
- Ownership registration and handover
These are legally and operationally distinct processes. Electronic brokerage documents do not automatically eliminate a bank’s source-of-funds review, a judicial scrivener’s identity checks or requirements for appropriate signature or certification documents.
Design settlement before contract signing
Non-residents may not have a Japanese bank account. International transfer timing, AML review, source-of-funds checks, exchange rates and remitter names can therefore affect completion. A digitally executed contract is of limited value if the purchase money cannot arrive by the contractual settlement date. The roles of the broker, seller, judicial scrivener and financial institutions should be mapped in advance.
Conclusion
Japan’s IT explanation and electronic-document framework makes cross-border property transactions much more efficient, but it does not turn every transaction into a completely paperless process. Contracting, identity verification, money movement and registration should be planned separately, with remote availability confirmed for each stage.
